General Terms and Conditions of Sale and Use
Article 1: Definitions
• Seller: The company NOVALAB SASU, with a capital of €1,000, registered office located at 8 rue du Dobropol, 75017 Paris, registered with the RCS under number 87876473700010, APE code 6202A, VAT number FR93878764737.
• Client: Any natural or legal person acquiring the OMNICASTVR Software and/or creating an account on the Portal.
• OmnicastVR Portal: The online management platform accessible at https://portal.omnicastvr.com, allowing the management of accounts, machines, orders, and licenses.
• OMNICASTVR Software: The all-terrain VR piloting and supervision tool developed by the Seller.
• Omni Package: The pricing plan chosen by the Client which determines the maximum number of VR headsets managed simultaneously (from 1 to 16 headsets).
• Activation Key: A digital identifier generated following an order, defining the Omni Package and its validity period.
• License: A digital right of use (Free Trial, 1, 2, or 3 years) linked to a Machine via the Portal.
• Claim Code: A unique validation code generated by the Portal to link and validate a physical Machine to the Client's account.
• UID (Unique Identifier): A unique identifier generated by the Software on the Client's Computer Hardware.
Article 2: Purpose
These GTC define the contractual conditions applicable to the marketing of the OMNICASTVR Software, the use of the online Portal, and the management of Licenses (1 to 3 years), whether the Software is acquired standalone or with Pre-configured Hardware.
Article 3: Features and Functionalities of the OMNICASTVR Software
The Software is a VR piloting and supervision tool.
Operation and Connection:
Although the software can operate offline for streaming and piloting sessions, an Internet connection is strictly required at least once every 30 days to verify the validity of the license with the server. Failing this, the software may become inoperable until the next successful synchronization.
Functionalities:
APK Installer, App Selection, Remote App Launcher, simultaneous shutdown, and screen mirroring (streaming).
Activation Process:
Machine registration on the Portal via the UID, followed by validation within the software using the Claim Code.
Free Trial:
Validating a new machine automatically triggers a 30-day trial license (limited to 6 headsets).
Article 4: Orders
Orders are placed via the Portal ("Licenses" tab) or via a signed quote. The User chooses the duration (1, 2, or 3 years) and the number of headsets (1 to 16). The order is subject to validation by the Seller.
Article 5: Price and Payment Terms
Prices are exclusive of tax (HT) and denominated in Euros (€). Payment is made by bank transfer or credit card. Invoices are made available to the Client in their personal space on the Portal.
Article 6: Delivery and Installation
The Software is delivered electronically. Installation is the responsibility of the Client (except in the case of Pre-configured Hardware acquisition). The license is generated upon payment validation.
Article 7: License Management and Transfer
7.1. Validity
Licenses are valid for the subscribed duration. Maintaining the right of use is conditional upon the machine connecting to the Seller's server via the internet every 30 days.
7.2. Loss or Destruction
The license is linked to the machine's UID. In the event of hardware loss, the license is considered lost. No refund may be claimed.
7.3. Migration
Transferring a license to a new machine is a paid service provided upon quote.
7.4. Modification (Omni Package)
Increasing the number of headsets on an existing license is subject to new pricing via a quote.
Article 8: Right of Withdrawal
The Client expressly waives their right of withdrawal as soon as the license is assigned on the Portal or the Activation Key is sent. No refund is possible once the license has been activated.
Article 9: Technical Conditions of Use
9.1. OS
Windows 10 and 11 exclusively.
9.2. Headsets
HTC, PICO, Meta, and other standalone headsets running on an Android operating system.
9.3. Network
5GHz Wi-Fi is strongly preferred. Performance directly depends on the computer's CPU and the Wi-Fi bandwidth.
Article 10: Warranties and Maintenance
10.1. Legal
Warranty of conformity and warranty against hidden defects.
10.2. Maintenance
Corrective maintenance included for 5 years. Evolutionary maintenance (new features) is excluded from the initial contract.
Article 11: Customer Service
11.1. Standalone Software
Liability limited to the conformity of the software code.
11.2. With Pre-configured Hardware
Free customer service support for one (1) year for anomalies falling under the Seller's responsibility.
Article 12: Intellectual Property
The Seller holds exclusive rights. Any unauthorized reproduction, distribution, or commercialization of the Software is strictly prohibited.
Article 13: Limitation of Liability and Statistics
13.1. Third-Party Technologies
OMNICASTVR Software was developed using existing technologies and communication protocols, notably ADB Wifi and Screencopy. The Seller strives to ensure compatibility at the time of delivery. However, the Client acknowledges and accepts that VR headset manufacturers may release updates independent of the Seller's will and control. In the event that such an update disrupts or renders inoperable all or part of the functionalities, the Seller undertakes to deploy all reasonable efforts to resolve the problem. However, if the problem proves insolvable, the Seller cannot be held legally responsible for malfunctions resulting directly from this third-party update.
13.2. Telemetry
The Software collects technical usage data transmitted to the Portal (app launches, streaming time, logs) for diagnostics and service improvement.
Article 14: Personal Data
The Seller processes data in accordance with the GDPR. Privacy policy available at: https://omnicastvr.com/fr/politique-confidentialite.
Article 15: Applicable Law and Disputes
These GTC are subject to French law. In the event of a dispute, the parties shall endeavor to find an amicable solution. Failing this, any dispute relating to the interpretation or execution of these GTC shall fall under the exclusive jurisdiction of the courts of Paris.
